1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of Aivaro, www.aivaroai.net, our mobile applications, AI video generation tools, prompt features, image-reference features, subscriptions, credits, support, websites, and related services (collectively, the "Services").
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not access or use the Services.
Additional terms from Apple App Store, Google Play, payment processors, model providers, cloud services, or other third-party platforms may also apply to your use of certain features.
2. Services
The Services may include websites, mobile applications, AI video generation, prompt tools, image-to-video workflows, previews, exports, subscriptions, credits, documentation, support, and related digital products operated for Aivaro.
Features, models, availability, output duration, output resolution, processing time, credit use, queue priority, export format, and quality may vary by platform, device, region, model availability, app version, and technical conditions.
Specific app marketplace listings, subscription plans, promotional programs, beta features, or business engagements may include additional terms presented at the point of purchase or use.
3. Eligibility and responsible use
You may use the Services only if you can enter a binding agreement and only if your use complies with all laws that apply to you.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for using the Services lawfully, respecting third-party rights, complying with app marketplace rules, and avoiding use that harms, misleads, exploits, or abuses any person or organization.
4. Accounts and security
You must provide accurate, current, and complete account, support, and purchase information and keep it updated where the Services provide that option.
You are responsible for keeping credentials, devices, authentication codes, and app sessions secure. You should notify us promptly if you believe your account has been accessed without authorization.
You remain responsible for activity that occurs through your account, device, app session, or purchase channel except where caused by our failure to use reasonable security measures.
We may refuse registration, reclaim names, suspend credentials, or restrict access where security, legal, operational, billing, or abuse-prevention reasons require it.
5. AI video features
The Services may allow you to create, preview, revise, save, export, or manage AI-generated video and related content from prompts, uploaded materials, references, settings, and other instructions.
AI-generated outputs may be inaccurate, unexpected, incomplete, offensive, visually inconsistent, similar to third-party content, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them or sharing them.
We may apply safety systems, moderation, queue limits, technical limits, usage limits, marketplace compliance checks, or policy checks to prompts, uploads, and outputs.
We do not promise that any prompt, reference image, setting, mode, or generation attempt will produce a specific result.
6. Your content
You retain the rights you already have in prompts, uploads, references, generated outputs, and other materials you submit or create through the Services, subject to these Terms and applicable law.
You represent that you have all rights, permissions, releases, and authority needed to submit, process, generate from, publish, and use your content and outputs.
You are responsible for your content and outputs, including whether they violate law, third-party rights, privacy rights, publicity rights, intellectual-property rights, marketplace policies, or these Terms.
We may remove, restrict, or disable content or outputs that appear unlawful, harmful, infringing, abusive, unsafe, or inconsistent with these Terms.
7. Content license and feedback
When you submit content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, adapt for technical formatting, and use that content solely as reasonably necessary to provide, secure, support, improve, and operate the Services, fulfill your requests, enforce these Terms, and comply with law.
This license does not allow us to use any user data, personal information, prompts, uploaded content, or generated outputs to train AI models, general-purpose AI, or foundation models.
Feedback, suggestions, or ideas you provide may be used by us without obligation to you, provided we do not disclose your confidential information in doing so.
8. Prohibited activities
You may not use the Services to create, upload, request, distribute, or promote unlawful, abusive, exploitative, deceptive, infringing, hateful, harassing, sexually exploitative, violent, privacy-invasive, or harmful content.
You may not impersonate others, violate publicity or privacy rights, create misleading deepfakes or deceptive media, bypass safety controls, scrape data, abuse promotions, resell unauthorized access, or use automated systems without permission.
You may not reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, non-public APIs, or internal system behavior except where law permits.
You may not upload malware, spyware, harmful code, or content designed to disrupt systems, exfiltrate data, overload infrastructure, perform unauthorized testing, or interfere with another user's access.
You may not use the Services to create non-consensual intimate content, sexual content involving minors, exploitative content, unlawful harassment, scams, phishing, spam, or content designed to evade law enforcement or platform policies.
9. Enforcement and safety actions
We may remove content, refuse generation, restrict features, suspend accounts, terminate access, adjust credits, or refuse service when we reasonably believe these Terms, platform rules, safety requirements, legal requirements, or rights of others have been violated.
We may investigate suspicious activity, fraud, payment abuse, security incidents, harmful content, repeat refund abuse, or attempts to bypass controls.
Enforcement decisions may be based on user reports, automated systems, manual review, platform notices, legal requests, or technical signals.
10. Mobile application license
If you access the Services through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, solely in accordance with these Terms and any app marketplace rules.
You may not copy, modify, distribute, sell, rent, lease, make the app available over a network for multiple-device use, remove proprietary notices, or use the app for unauthorized purposes.
Apple, Google, and other app marketplace providers may be third-party beneficiaries of this section where their terms require it.
11. Purchases, subscriptions, and credits
The Services may offer subscriptions, credits, consumables, trials, promotional grants, or paid features. Prices, renewal periods, credit grants, expiration rules, feature access, and availability may vary by country, platform, app version, currency, taxes, and promotional terms.
Purchases through Apple App Store or Google Play are processed by the relevant store. Their payment, renewal, cancellation, tax, and refund terms apply in addition to these Terms.
Credits or usage allowances may be consumed when generation starts, when a task is submitted, when output processing begins, or according to the rules shown in the app.
Failed, blocked, canceled, refunded, reversed, charged back, or disputed transactions may result in subscription, credit, export, generation, balance, or entitlement adjustments where technically possible.
You are responsible for managing subscriptions and cancellations through the store or platform where the purchase was made unless the app clearly provides another supported route.
12. Refunds
Refunds for Apple App Store or Google Play purchases should normally be requested from the store where the purchase was made. We do not control store refund decisions.
If Apple or Google approves a refund, Aivaro honors that platform result after confirmation and may adjust related subscriptions, credits, generated access, account balances, exports, or entitlements.
If we offer direct purchases outside app stores, any direct refund terms shown at checkout or required by law will apply.
Nothing in these Terms limits non-waivable consumer rights that apply to you.
13. Account deletion and closure
The Aivaro app provides an account deletion function in the Profile, Account, or Settings area. You may also contact support if you cannot access your account.
Deleting an account may remove or disable access to account data, generated history, credits, entitlements, saved settings, and app-specific records, subject to legal, payment, security, backup, and technical limits.
We may retain limited records after deletion where required or permitted for billing, accounting, app marketplace records, tax, fraud prevention, security, dispute resolution, backup, or legal compliance.
You may stop using the Services at any time, but deleting the app from a device does not automatically delete the account.
14. Suspension and termination
We may suspend, limit, or terminate your access if we reasonably believe you breached these Terms, created a security or legal risk, infringed rights, failed to pay fees, abused refunds or credits, misused the Services, or if law or platform rules require us to act.
Termination may result in loss of access to accounts, credits, subscriptions, projects, outputs, and other data, subject to applicable law and marketplace rules.
After termination or deletion, some Terms will continue where necessary, including intellectual-property, payment, disclaimer, limitation-of-liability, indemnity, dispute, regional rights, and compliance provisions.
15. Intellectual property
The Services, including software, interfaces, designs, text, graphics, logos, icons, workflows, documentation, APIs, brand elements, and other materials, are owned by us, the developer, or our licensors and are protected by intellectual-property and unfair-competition laws.
Except for rights expressly granted to you, these Terms do not transfer ownership of the Services or our intellectual property.
You may not copy, reproduce, modify, translate, distribute, sell, lease, sublicense, publicly display, create derivative works from, or otherwise exploit any portion of the Services except as allowed by law or written permission.
16. Privacy, confidentiality, and AI training
Our Privacy Policy explains how we collect, use, share, and protect personal information and is incorporated into these Terms by reference.
We use reasonable safeguards designed to protect information, including access controls and encryption where appropriate.
We do not use any user data, personal information, prompts, uploaded content, or generated outputs to train AI models, general-purpose AI, or foundation models.
We may use aggregated, anonymized, or de-identified information for analytics, reliability, security, abuse prevention, capacity planning, and product improvement.
17. Third-party services
The Services may link to, integrate with, rely on, or enable access to third-party websites, app stores, AI providers, model providers, cloud platforms, analytics tools, payment processors, device platforms, and communication services.
We do not control third-party services and are not responsible for their content, availability, security, policies, decisions, or practices.
Your use of third-party services may be subject to separate terms, privacy notices, fees, policies, eligibility rules, and availability limits.
18. Availability and changes
We may update, modify, pause, limit, discontinue, or change any part of the Services at any time, including features, models, modes, prices, credit rules, support flows, app availability, or platform availability.
We do not guarantee that the Services will always be available, uninterrupted, error-free, secure, or compatible with every device, operating system, browser, app store, network, marketplace, model provider, or integration.
We may release beta, experimental, or preview features that may change, be limited, or stop at any time.
19. Disclaimers
The Services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by law.
We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and uninterrupted operation.
We do not guarantee that AI outputs will meet your expectations, be unique, be legally usable in every context, or be free from errors. You are responsible for reviewing outputs and obtaining any rights, releases, or permissions needed for your use.
20. Limitation of liability
To the fullest extent permitted by law, Aivaro, its developer, organization, affiliates, contractors, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the Services.
To the fullest extent permitted by law, our total liability for claims related to the Services will not exceed the greater of the amount you paid for the Services giving rise to the claim during the six months before the claim arose or USD 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
21. Indemnity
You agree to defend, indemnify, and hold harmless Aivaro, its developer, organization, affiliates, contractors, licensors, service providers, and representatives from claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable legal fees, arising from your content, your outputs, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.
22. Governing law and disputes
These Terms are governed by applicable law unless consumer-protection rules require a different law or forum.
Before filing a formal claim, you agree to contact us and attempt to resolve the issue informally. If a dispute cannot be resolved informally, it will be handled by courts or forums with proper jurisdiction under applicable law.
If you reside in a jurisdiction that grants non-waivable consumer, privacy, platform, cancellation, warranty, or digital-service rights, nothing in these Terms limits those rights to the extent such limitation is prohibited by law.
23. Export compliance and electronic communications
You may not use, export, re-export, transfer, or access the Services in violation of applicable export-control, sanctions, anti-terrorism, or trade-compliance laws.
You represent that you are not located in, under the control of, or a resident of a restricted jurisdiction and that you are not listed on any applicable sanctions or prohibited-party list.
By using the Services, visiting our website, contacting us by email, submitting forms, or completing digital workflows, you consent to receive communications from us electronically.
You agree that electronic agreements, notices, disclosures, signatures, records, and communications satisfy any legal requirement that such communications be in writing.
24. Miscellaneous and contact
These Terms, together with the Privacy Policy, Refund Policy, and any applicable supplemental terms, form the entire agreement between you and us regarding the Services.
If any provision is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
You may not assign or transfer your rights or obligations under these Terms without our prior written permission. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, financing, or transfer of assets.
